Section 1. Official Statement. The City Council hereby deems final within the meaning of Rule 15c2-12 of the Securities Exchange Act of 1934, as amended, Appendix A to the Preliminary Official Statement relating to the 2015 Bonds, which contains financial and operating information relating to the City. The City Manager and the Finance Director, or the written designee of any of them (each, a "Designated Officer"), are each hereby authorized, at the request of the purchaser of the 2015 Bonds, to execute an appropriate certificate affirming a determination that such Appendix A has been deemed final. The Designated Officers, each acting alone, with the advice and approval of the City Attorney, are each hereby authorized and directed to approve any changes in or additions to the portions of the Preliminary Offering Statement and the final Official Statement that relate to the City. Section 2. Approval of Continuing Disclosure Certificate. The City Council hereby approves the form of the City's Continuing Disclosure Certificate with respect to the 2015 Bonds, in the form on file with the City Clerk, together with any modifications thereof as may be approved by a Designated Officer, with the advice and approval of the City Attorney, whose execution thereof shall be conclusive evidence of the approval of any such modifications. A Designated Officer is hereby authorized and directed to executed the final form of the Continuing Disclosure Certificate for and on behalf of the City. Section 3. Approval of Closing Documents. The Mayor, the City Manager, the Finance Director and the City Clerk and their duly authorized deputies, designees or agents are each hereby authorized and directed, in their respective official capacities, to execute or attest thereto, any and all financial instruments, warrants, agreements and other financing documents, necessary or appropriate to effectuate the purposes of the Financing Agreement and the issuance of the 2015 Bonds by the Authority. Without limiting the generality of the foregoing, the City Council hereby authorizes the execution and delivery of the closing documents relating to the 2015 Bonds in the respective forms on file with the City Clerk. Section 4. Effective Date. This Resolution shall take effect immediately upon its passage and adoption. * * * * * * * *
