$70,200,000 SILICON VALLEY CLEAN WATER (San Mateo County, California) 2015 WASTEWATER REVENUE BONDS OFFICER'S CERTIFICATE OF THE CITY OF REDWOOD CITY The undersigned hereby states and certifies as follows that: (i) we are the duly appointed , qualified and acting Finance Director and Deputy City Clerk of the City of Redwood City, a charter city and municipal corporation duly organized and existing under the laws of the State of California (the "City") , and as such , we are familiar with the facts herein certified and are authorized and qualified to certify the same under that certain Financing Agreement dated as of December 1 , 2008, as amended (the "Financing Agreement") , between the South Bayside System Authority, currently known as Silicon Valley Clean Water (the "Authority") and the City; (ii) the City is a member of the Authority and , as such , is participating in the financing of certain public capital improvements of the Authority from the proceeds of the above-referenced bonds (the "Authority Bonds") which have been issued under the Indenture of Trust dated as of November 1 , 2015 between the Authority and The Bank of New York Mellon Trust Company, N.A. , as trustee; (iii) the signatures set forth opposite the names and titles of the following persons are the true and correct specimens of, or are, the genuine signatures of such persons, each of whom holds the office designated : Name and Title Signature Audrey Ramberg , Director of Finance Z , � rv` 4--'� lJ u Dora Wong, Deputy City Clerk A ' (iv) on October 12 , 2015 , the City Council duly adopted its Resolution No. 15450 entitled "Resolution of the City Council of the City of Redwood City Relating to 2015 Silicon Valley Clean Water Wastewater Revenue Bonds, and Approving Related Documents and Official Actions" (the "Resolution") , at a meeting which was called and held pursuant to law and with all public notice required by law and at which a quorum was present and acting at the time of adoption , and the Resolution has not been amended, modified, rescinded or repealed and remains in full force and effect as of the date hereof;
