02/12/2018 <br />Loan Documents and authorize the City Manager to execute the Funding <br />Agreement, the Subordination Agreement, the Intercreditor Agreement and to <br />take any other actions necessary for consummation of the transaction; <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF <br />THE CITY OF REDWOOD CITY, AS FOLLOWS: <br />1. The foregoing recitals are true and correct and are incorporated <br />herein by reference. <br />2. The Loan is hereby approved. <br />3. The Loan Documents are hereby approved, subject to any minor, <br />clarifying, and conforming changes approved by the City Attorney. <br />4. The City Manager and the City Clerk are hereby authorized and <br />directed to execute and attest thereto, respectively, the Funding Agreement, the <br />Subordination Agreement and the Intercreditor Agreement, all subject to any <br />minor, clarifying, and conforming changes approved by the City Attorney. <br />5.
