WIRELESS COMMUNICATIONS SITE LICENSE AGREEMENT This Wireless Communications Site License Agreement ("License") is made as of the first day of the month following the latter of the signature dates below ("Effective Date"), by and between The City of Redwood City, California ("Licensor"), a charter city and California municipal corporation having a mailing address at 1017 Middlefield Road, Redwood City, CA 94063, and New Cingular Wireless PCS, LLC, a Delaware limited liability company ("Licensee"), having a mailing address of 575 Morosgo Drive NE, Atlanta, GA 30324. Licensor, Licensee and any permitted Sublicensees as provided for in Section 4 are sometimes referred to herein individually as a "Party" and collectively as the "Parties." WHEREAS, Licensor, as lessor, and Licensee's predecessor -in -interest, Bay Area Cellular Telephone Company, a California general partnership d/b/a Cellular One (`BACTC'), as lessee, entered into that certain Lease Agreement dated July 29, 1996 ("Original Lease"), whereby Licensor leased to BACTC the Premises (as defined below) in connection with BACTC's federally licensed communications business; and WHEREAS, Licensee succeeded to all of the right, title and interest of BACTC in and to the Original Lease; and WHEREAS, Licensor and Licensee amended the Original Lease pursuant to that certain First Amendment to Lease Agreement dated as of July 29, 2011 ("First Amendment") (the Original Lease as amended by the First Amendment are hereinafter collectively referred to'as the "Existing Lease'); and WHEREAS, the Existing Lease expired on July 28, 2016; and WHEREAS, Licensee has since been occupying the Premises with Licensor's consent on a month-to-month basis; and WHEREAS, as of the Effective Date the Parties wish to supersede all of the terms, covenants and conditions of the Existing Lease with the terms, covenants and conditions of this License, and to confirm that as of the Effective Date, their obligations under the Existing Lease shall be deemed fully performed, and each shall be fully discharged from their respective obligations thereunder, and without the necessity of a further writing exchanged between them. The previous sentence notwithstanding, both Parties intend that any indemnification obligations of Licensee and Licensor that have accrued during the term of the Existing Lease, if any, will survive the termination of the Existing Lease. 1. GRANT OF AUTHORITY 1.1 Licensor is the record owner of real property generally located at the 500 Block of California Way, in the City of Redwood City, County of San Mateo, State of California 94062, Assessor's Parcel Number 068-173-300, identified in Exhibit "A" (the "Property").
