WIRELESS COMMUNICATIONS SITE LICENSE AGREEMENT <br />This Wireless Communications Site License Agreement ("License") is made as of the <br />first day of the month following the latter of the signature dates below ("Effective Date"), by <br />and between The City of Redwood City, California ("Licensor"), a charter city and California <br />municipal corporation having a mailing address at 1017 Middlefield Road, Redwood City, CA <br />94063, and New Cingular Wireless PCS, LLC, a Delaware limited liability company <br />("Licensee"), having a mailing address of 575 Morosgo Drive NE, Atlanta, GA 30324. <br />Licensor, Licensee and any permitted Sublicensees as provided for in Section 4 are sometimes <br />referred to herein individually as a "Party" and collectively as the "Parties." <br />WHEREAS, Licensor, as lessor, and Licensee's predecessor -in -interest, Bay Area <br />Cellular Telephone Company, a California general partnership d/b/a Cellular One (`BACTC'), <br />as lessee, entered into that certain Lease Agreement dated July 29, 1996 ("Original Lease"), <br />whereby Licensor leased to BACTC the Premises (as defined below) in connection with <br />BACTC's federally licensed communications business; and <br />WHEREAS, Licensee succeeded to all of the right, title and interest of BACTC in and to <br />the Original Lease; and <br />WHEREAS, Licensor and Licensee amended the Original Lease pursuant to that certain <br />First Amendment to Lease Agreement dated as of July 29, 2011 ("First Amendment") (the <br />Original Lease as amended by the First Amendment are hereinafter collectively referred to'as the <br />"Existing Lease'); and <br />WHEREAS, the Existing Lease expired on July 28, 2016; and <br />WHEREAS, Licensee has since been occupying the Premises with Licensor's consent on <br />a month-to-month basis; and <br />WHEREAS, as of the Effective Date the Parties wish to supersede all of the terms, <br />covenants and conditions of the Existing Lease with the terms, covenants and conditions of this <br />License, and to confirm that as of the Effective Date, their obligations under the Existing Lease <br />shall be deemed fully performed, and each shall be fully discharged from their respective <br />obligations thereunder, and without the necessity of a further writing exchanged between them. <br />The previous sentence notwithstanding, both Parties intend that any indemnification obligations <br />of Licensee and Licensor that have accrued during the term of the Existing Lease, if any, will <br />survive the termination of the Existing Lease. <br />1. GRANT OF AUTHORITY <br />1.1 Licensor is the record owner of real property generally located at the 500 Block of <br />California Way, in the City of Redwood City, County of San Mateo, State of California 94062, <br />Assessor's Parcel Number 068-173-300, identified in Exhibit "A" (the "Property"). Subject to <br />the terms and conditions of this License, Licensor hereby grants to Licensee an exclusive license <br />(which license shall remain irrevocable during the Term (defined below), except to the extent <br />that the license may be revoked or otherwise terminated as expressly set forth herein) to portions <br />AT&T Site CCL00014 (Redwood City) 10.22.18 FINAL <br />ATTYIAGR.2018.264/New Cingular Wireless PCS, LLC - Wireless Communications Site License <br />Agreement 555 California Way <br />
