<br />ii. <br /> <br />iii. <br /> <br />iv. <br /> <br />v. <br /> <br />vi. <br /> <br />DF.S:djg-c 7/19/84 <br /> <br />or their designated representatives of <br />RTD's books and records designated <br />representatives of RTD's books and records <br />and, if necessary, the examination under oath <br />of Allan Rude, President of RTD, or others; <br /> <br />preparation of sworn financial statements for <br />RTD and Allan Rude and the submission of such <br />financial statements to the creditors of RTD <br />or their designated representatives; <br /> <br />in the event that the Corrmittee proves unable <br />to resolve outstanding differences respecting <br />the terms of the distribution of the proceeds <br />of the securities liquidation now held at the <br />Federal Reserve Bank of New York, a transfer <br />by RTD of such proceeds in trust for the benefit <br />of the members of the committee to such trustee <br />as the Committee shall designate; <br /> <br />distribution of the remaining assets of RTD <br />on a pro-rata basis to all creditors of RTD; <br />provided, however, that such distribution shall <br />not be deemed approval of a pro-rata distribution <br />of the proceeds of the securities liquidation <br />aforesaid; <br /> <br />the provision of all creditors of releases and <br />covenants not to sue by all creditors in favor <br />of the officers, directors and shareholders of <br />RTD; and <br /> <br />dismissal of the RTD Chapter 11 case. <br /> <br />4. The services authorized hereunder to be performed by <br /> <br />ARKO shall be without prejudice to any claim or claims of the <br /> <br />City of Redwood City over against any other creditor(s) of RTD, <br /> <br />and consent of the City of Redwood City as to any action taken by <br /> <br />ARKO and/or the Committee shall not be deemed an approval by the <br /> <br />City of Redwood City of any matter prejudicial to this City's <br /> <br />claim or claims, if any, over against other creditor(s), or any <br /> <br />other conflicting interests. <br /> <br />3 <br />
