<br />WMAM:P :hek 02/25/85 17c <br /> <br />RESOLUTION NO. <br /> <br />9819 <br /> <br />ORIGINAL <br />MAR 4 1985 <br /> <br />A RESOLUTION APPROVING UNDERWRITER'S AGREEMENT <br /> <br />SEAPORT BOULEVARD ASSESSMENT DISTRICT <br /> <br />RESOLVED, by the City Council of the City of Redwood City (the <br />"City"), California, that <br />WHEREAS, this Council intends to issue serial bonds (the <br />"Bonds") to represent unpaid assessments in proceedings conducted under <br />and pursuant to its Resolution of Intention No. 9795, adopted February <br />4, 1985: and <br />WHEREAS, Birr, Wilson & Co., Inc. has submitted to the City a <br />proposed Agreement to Act as Managing Underwriter for Seaport Boulevard <br />Assessment District, dated February 25, 1985 (the "Underwriting <br />Agreement"), wherein Birr, Wilson & Co., Inc. offers to serve as <br />Underwriter to the City in the structuring and marketing of the Bonds, <br />to prepare a preliminary and final offering statement for the sale of <br />the Bonds to the public and to submit a bond purchase agreement for the <br />purchase of the Bonds, the Underwriting Agreement to be in effect until <br />an actual bond purchase agreement for the sale of the Bonds has been <br /> <br />consummated; <br /> <br />NOW, THEREFORE, THIS COUNCIL HEREBY DETERMINES AND ORDERS, as <br />follows: <br /> <br />1. The Underwriting Agreement is hereby approved, subject to <br />all of the terms and conditions contained therein. <br /> <br />2.
