<br />withdrawal of any party from this agreement shall in no way affect <br />the rights and obligations of the remaining cities. If a city <br />withdraws from this agreement, it is not entitled to the return of <br />any funds contributed to the Authority nor to the return in cash <br />or in kind of any materials or supplies contributed. Withdrawing <br />cities still are obligated for all payments due from them for the <br />fiscal year of the withdrawal and for all obligations and <br />responsibilities incurred during the time of the withdrawing <br />city's membership in the Authority. <br />12. Termination and Disposition of Property. This agreement <br />shall be deemed terminated when only one city continues to <br />participate, or when all participating cities choose to terminate <br />it. Upon termination, all assets shall be distributed in equal <br />shares to the cities still active at the time of termination or to <br />the city continuing to participate. <br />13. Amendment. This agreement may be amended from time to <br />time with the written consent of four-fifths of the participating <br />cities. <br />14. workers' Compensation and Liability Insurance. The <br />Authority is responsible for all Workers' Compensation coverage of <br />any employees of the Authority, and for all liability insurance <br />for its operation. No participating city will be liable for <br />Workers' Compensation or liability claims because of its <br />participation. The Authority shall defend participating cities <br />against any and all such claims, at the Authority's sole expense. <br />The Authority shall hold participating cities harmless from any <br /> <br />2943G <br /> <br />-6- <br /> <br />11001 <br />
