<br />5. <br /> <br />Powe rs. <br /> <br />SAHCAT shall have the following powers common to the <br /> <br />Members: Conducting research; administering franchises; administering channels <br /> <br />allocated or contracted for city, county, school, public safety or community <br /> <br />uses, and acquiri:1g. cons tructing and leas ing facilities for community televis ion <br /> <br />antenna systems with facilities and appurtenances necessary or convenient <br /> <br />therefor. SAMCAT shall further have the power to maintain and operate facilities <br /> <br />that have been acquired or constructed by SAMCAT, > and the facilities and <br /> <br />appurtenances necessary thereto. <br /> <br />SAHCAT hereby is authorized to do all acts <br /> <br />necessary for the exercise of said common powers for said purposes, including, <br /> <br />but not limited to, any or all of the following: To hire employees; to make and <br /> <br />enter into contracts; to acquire, construct, manage, maintain or operate any CATV <br /> <br />system and communication networks, buildings, works or improvements; to acquire, <br /> <br />hold or dispose of property, pursuant to this agreement between the parties <br /> <br />hereto and any other public agencies; to incur debts, liabilities or obligations <br /> <br />required by the exercise of these powers that do not constitute a debt, liability <br /> <br />or obligation of the Members; to sue and be sued in its own name; and, to do all <br /> <br />things that are necessary and convenient in the exercise of the foregoing <br /> <br />enumerated powers. Said powers shall be exercised in the manner provided and, <br /> <br />except as expressly set :orth herein. subject only to such restrictions upon the <br /> <br />manner of exercising such powers as are imposed upon the Members in the exercise <br /> <br />of similar- power-s.
