<br />DES:d~l 10/16/89 <br /> <br />(#020/26) <br /> <br />participate on the Board of Directors thereof as specified in the <br /> <br />proposed By-laws; <br /> <br />NOW, THEREFORE; <br /> <br />BE IT RESOLVED BY THE COUNCIL OF THE CITY OF REDWOOD CITY, <br /> <br /> <br />AS FOLLOWS: <br /> <br /> <br />1. This Council hereby endorses the formation of Redwood <br /> <br /> <br />City International Corporation pursuant to the California <br /> <br />Nonprofit Public Benefit Corporation Law for public and <br /> <br /> <br />charitable purposes, approves the Articles of Incorporation and <br /> <br />By-Laws thereof in substantially the form of Exhibit A, and <br /> <br /> <br />encourages its activities for the purposes stated in the proposed <br /> <br /> <br />Articles of Incorporation. <br /> <br /> <br />2. The Mayor is, and his successors in office are, hereby <br /> <br />authorized and directed to serve as a voting member of the Board <br /> <br /> <br />of Directors of the Corporation upon its formation or, <br /> <br />alternatively, to appoint a resident of the City of Redwood City <br /> <br />to serve in his stead as a voting member on the Board, in which <br /> <br />event the Mayor shall serve as a non-voting ex-officio member of <br /> <br /> <br />the Board as specified in the By-Laws of the Corporation. <br /> <br />* <br /> <br />* <br /> <br />* <br /> <br />2 <br /> <br />11179 <br />
