'k 10/24/88 (#36) <br />DEE jk 10/16/89R <br /> <br />BY-LAWS OF REDWOOD CITY INTERNATIONAL CORPORATION, <br />A CALIFORNIA NONPROFIT PUBLIC BENEFIT CORPORATION <br /> <br />ARTICLE I <br /> <br />Name <br /> <br />Section l.Ol. Name. The name of this corporation is Redwood <br />City International Corporation. <br /> <br />ARTICLE II <br /> <br />Corporate Offices <br /> <br />Section 2.01. Prinicipal Office. The principal office for <br />the transaction of the activities and affairs of this corporation <br />is located at 1017 Middlefield Road, Redwood City, California <br />94063. The Board of Directors ("Board") may change the principal <br />office from one location to another. Any such change shall be <br />evidenced by amendment to this section of the By-Laws. <br /> <br />Section 2.02. Branch Offices. The Board may at any time <br />establish branch or subordinate offices at any place or places <br />within the City of Redwood City, California. <br /> <br />ARTICLE III <br /> <br />Purposes <br /> <br />Section 3.01. General Purposes. The general purposes of <br />this corporation are as stated in Article II of the Articles of <br />Incorporation, to wit: <br /> <br />"This corporation is a nonprofit public benefit <br />corporation and is not organized for the private gain of any <br />person. It is organized under the nonprofit public benefit <br />corporation law for public and chari table purposes. The <br />public purposes include the exchange of cultural, <br />educational, and social information and activities with <br />communities in foreign nations having similar interests and <br />community characteristics with those of the City of Redwood <br />City, California and the international promotion of the <br />community interests of said City of Redwood City. <br /> <br />"This corporation is organized exclusively for <br />chari table and educational purposes wi thin the meaning of <br />Section SOl (c) (3) of the Internal Revenue Code of 19S4 (26 <br />D.S.C. ~S01 (c) (3)) or the corresponding provision of any <br />future United States internal revenue law.
