<br />ISO Form No. CA 00 01 for owned, scheduled, non-owned, or hired <br />automobiles with a combined single limit of not less than One Million <br />Dollars ($1,000,000) per occurrence. <br /> <br />(c) Workers' Compensation and Employers Liability Insurance in a form and <br />amount covering Licensee's full liability under the Workers' Compensation <br />Act of the State of Califomia as amended from time to time. <br /> <br />(d) Property Insurance, on an ISO Special Coverage Form or its equivalent in <br />an amount sufficient to reimburse Licensee at replacement cost for all of <br />its equipment, trade fixtures, inventory, fixtures and other personal <br />property located on or in the Premises including the City's allocation of <br />tables (16) and chairs (32). <br /> <br />(e) Such other insurance in such amounts which from time to time may be <br />reasonably required by the mutual consent of Licensee and licensor <br />against other insurable risks relating to performance. <br /> <br />The insurance and the coverage referred to under (a) and (b) of this <br />paragraph shall be endorsed to include the Licensor, its officers, agents, <br />employees and volunteers as an additional insured. Such a provision, <br />shall apply to products and completed operations hazards as well as <br />ongoing operations. Coverage under (a) and (b) above shall also be <br />endorsed to be primary and not have any right to contribution from other <br />insurance or coverage procured for, or on behalf of, the Licensor. <br />Licensee, upon the execution of this License Agreement, shall furnish <br />Licensor with Certificates of Insurance evidencing compliance with all <br />insurance requirements, and copies of the additional insured <br />endorsement, primary insurance endorsement, as well as endorsement <br />providing thirty (30) day advance written notice to Licensor of any <br />modification, change or cancellation of any of the above insurance <br />coverage. The coverage required herein shall not limit the liability of <br />Licensee, its officers, agents, or employees. <br /> <br />19. TERMINATION <br />19.1 Licensor may terminate this Agreement by giving written notice to Licensee at <br />least thirty (30) days prior to the intended termination date. <br /> <br />If Licensee terminates this Agreement prior to the expiration of the current <br />License term, Licensee shall be responsible for License fees for the remainder of <br />the License term. <br /> <br />20. DEFAULTS BY LICENSEE OR LICENSOR <br />20.1 Licensee shall be deemed in default if Licensee fails to cure any monetary <br />obligation within five (5) days after written notice from Licensor, and Licensee <br />shall be deemed in default of a non-monetary obligation after five (5) days written <br />notice from Licensor, except that, if the non-monetary obligation is such that it <br />takes longer than thirty (30) days to cure, Licensee shall not be deemed in <br />default if Licensee commences the cure within such thirty (30) day period and <br />completes the cure within fifteen (15) days thereafter. <br /> <br />A TTY/AGR/2007 .068 <br />110107 <br /> <br />10 <br />
