9. Attorneys' Fees. In the event of any legal proceeding in connection with this <br /> Termination, the party which prevails in such action shall be entitled to recover, in addition to all <br /> other remedies or damages, reasonable attorneys' fees and costs of court incurred in such suit. <br /> 10. Notices. All notices, demands or other communications given in connection with <br /> this Termination ( "Notices ") shall be given in writing and transmitted by personal delivery, <br /> overnight courier, or certified mail, return receipt requested, to the addresses below or to such <br /> other address as the party may designate by Notice similarly given, or shall be sent via an <br /> electronically - confirmed facsimile with a copy sent via first class mail on or before the next <br /> business day. For the purposes herein, notices shall be sent to Agency and Lessee as follows: <br /> Agency: c/o Courthouse Square Vendor Management <br /> Redevelopment Agency of the City of Redwood City <br /> 1017 Middlefield Road <br /> Redwood City, CA 94063 <br /> Facsimile: (650) 780 -0128 <br /> City: c/o Courthouse Square Vendor Management <br /> City of Redwood City <br /> 1017 Middlefield Road <br /> Redwood City, CA 94063 <br /> Facsimile: (650) 780 -0128 <br /> Lessee: c/o Ruhina Karmali <br /> Daily Boost LLC <br /> 2025 California St. #3 <br /> Mountain View, CA 94040 <br /> 11. Authorization. Each individual executing this Termination on behalf of Lessee <br /> represents and warrants that he or she or it is duly authorized to execute and deliver this <br /> Termination on behalf of Lessee and that such execution is binding upon Lessee. <br /> 12. Miscellaneous. This Termination constitutes the entire agreement between the <br /> parties regarding the subject matter hereof and all prior understandings, representations, and <br /> agreements concerning the subject matter hereof, whether verbal or written, are superseded <br /> hereby. In the event of any express and direct conflict between this Termination and the Lease <br /> or the License, this Termination will control. This Termination shall be construed and <br /> interpreted in accordance with the laws of the State of California. Prior to the execution of this <br /> Termination, the parties or their duly authorized representatives have apprised themselves of <br /> sufficient relevant data, either through attorneys or other sources of their own selection, in order <br /> intelligently to exercise their judgment in deciding whether to execute, and in deciding the <br /> contents of, this Agreement. The parties have read this Termination and the mutual releases <br /> contained in it, and have freely and voluntarily entered into the Termination. This Termination <br /> shall be binding upon and inure to the benefit of Agency, City and Lessee and their respective <br /> successors, assigns, shareholders, members, principals and related entities. This Termination <br /> will not be construed against any party on the basis of that party having responsibility for the <br /> ATTY /AGR/2011.053 <br /> 062111 <br />
