REV: 09-19-2022 MI AMENDMENT NO. 2 TO AGREEMENT FOR SERVICES Pump Repair Service Co. This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as of October 17, 2022, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Pump Repair Service Co., a California corporation (“Contractor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain General Services Agreement, dated as of October 17, 2019, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”); dated as of October 17, 2020 (the “Original Agreement” and “Amendment No. 1” are collectively known as the “Agreement”). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Contractor a not-to-exceed amount of Two Hundred Ninety One Thousand Two Hundred Twenty Four Dollars and Ninety Six Cents ($291,224.96) for the completion of all the services described in the Agreement, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 2, the total amount payable under the Agreement will be a not-to-exceed amount of Seven Hundred Twenty Eighty Thousand Sixty Two Dollars and Forty Cents ($728,062.40). 2. Unless terminated earlier, the term of this Amendment No. 2 will be a period of two years from the effective date of this Amendment No. 2. Including all amendments, through Amendment No. 2, the total term of this Agreement is five years from the Effective Date of this Agreement. 3. Contractor will complete all work described in the Agreement by October 17, 2024, provided that the City may grant extensions consistent with the extension provisions set forth in the Agreement. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment No. 2. ATTY/AGR.2022 - Amend No. 2/Pump Repair Service Co.
