6.A. - Page 4 of 5 AMENDMENT NO.5 TO AGREEMENT FOR PROFESSIONAL SERVICES (Krupka Consulting) This Amendment No. 5 (the "Amendment No. 5") is entered into and effective as Of , 2019, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Krupka Consulting, a sole proprietorship ("Consultant") (collectively, the "Parties"). RECITALS A. The Parties previously executed that certain Agreement for Professional Services, dated as of May 22, 2013, (the "Original Agreement"). B. The Parties previously amended the Original Agreement by executing Amendment No. 1 (dated October 14, 2013), Amendment No. 2 (dated August 4, 2015), Amendment No. 3 (dated March 3, 2017), and Amendment No. 4 (dated July 28, 2017). The Original Agreement and Amendment No. 1 through Amendment No. 4 are hereafter collectively referred to as the "Agreement." C. The design phase of the US 101184 Interchange Project, for which the Consultant is serving as project manager, is expected to continue for at least one more year and work will continue on right of way acquisition and procuring construction funding beyond that. The City desires the Consultant to continue serving as the project manager. D. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 5, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not -to -exceed amount of Two Hundred Eight Thousand Dollars ($208,000) for the completion of all the services described in the Agreement, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 5, the total amount payable under the Agreement will be a not -to -exceed amount of One Million Fifty Thousand Dollars ($1,050,000). 2. All other provisions of the Agreement will remain in full force and effect. 3. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment. 4. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment.
