6.A. - Page 5 of 6 <br />AMENDMENT NO. 5 <br />TO <br />AGREEMENT FOR PROFESSIONAL SERVICES <br />(CSG Consultants, Inc.) <br />This Amendment No. 5 (the "Amendment No. 5") is entered into and effective as <br />of the day of , 2019, by and between the City of Redwood City, <br />a charter city and municipal corporation of the State of California ("City"), and CSG <br />Consultants, Inc., a California corporation ("Consultant") (collectively, the "Parties") for <br />on-call construction inspection services. <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Professional <br />Services — CSG Consultants, Inc., dated as of February 20, 2018, (the "Original <br />Agreement"). <br />B. The Parties previously amended the Original Agreement by executing <br />Amendment No. 1 (dated May 11, 2018), Amendment No. 2 (dated October 5, 2018), <br />Amendment No. 3 (dated December 19, 2018), and Amendment No. 4 (dated May 23, <br />2019). The "Original Agreement" and Amendments No. 1, 2, 3, & 4 are collectively known <br />as the "Agreement." <br />C. The Parties have negotiated and agreed to additional on-call construction <br />inspection services, the payment for which would exceed the maximum dollar amount of <br />this Agreement. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows - <br />1 . <br />ollows: <br />1. In exchange for additional on-call construction inspection services <br />described in Exhibit "A" of the Original Agreement, the City will pay Consultant a not -to - <br />exceed amount of Four Hundred Thousand and No/100 Dollars ($400,000.00), which sum <br />will include all costs or expenses incurred by Consultant. Including all amendments <br />through Amendment No. 4, the total amount payable under the Agreement will be a not - <br />to -exceed amount of One Million One Hundred Twenty -Seven Thousand Six Hundred <br />and No/100 Dollars ($1,127,600.00). <br />2. All other provisions of the Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment. <br />4. The individuals executing this Amendment and the instruments referenced <br />in it on behalf of Consultant each represent and warrant that they have the legal power, <br />right and actual authority to bind Consultant to the terms and conditions of this <br />Amendment. <br />REV: 10-03-19 PR <br />ATTY/AGR.Amend No. 5/CSG Consultants Inc.
