<br />6.10 <br />Page 3 <br /> <br />AMENDMENT NO.3 TO AGREEMENT FOR ENVIRONMENTAL SERVICES FOR PENINSULA <br />. PARK <br />(Wagstaff & Associates) <br /> <br />This Amendment No. 3 is entered into and effective as of the _ day of <br />, 2007, amending the agreement dated October 11, 2006 (the "Agreement") <br />by and between the City of Redwood City, a charter city and municipal corporation ("City"), and <br />Wagstaff & Associates, {"Consultant"} {collectively, the "Parties"} for Peninsula Park. <br /> <br />RECITALS <br /> <br />A. On May 9, 2007 the Parties executed Amendment NO.1 to the Agreement to <br />revise the analysis to reflect the changes that occurred to current traffic conditions and changes <br />to the project description; and <br /> <br />B. On November 16, 2007 the Parties executed Amendment No. 2 to the <br />Agreement to authorize additional funds in order to accommodate some additional scope work <br />to complete the Peninsula Park EIR Addendum; more specifically, the additional traffic analysis <br />prepared by Fehr and Peers, revised text regarding wastewater, and general preparation of the <br />final document; and <br /> <br />C. The Parties desire to alter the Agreement's scope of work for additional <br />compensation for City-requested added tasks towards completion of the Peninsula Park EIR <br />Addendum; and <br /> <br />D. The Parties have negotiated and agreed to a supplemental scope of work and fee <br />schedule, which is attached to and incorporated by this reference as Exhibit "A," Scope of <br />Services and Fee. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. In addition to those services contained in the Agreement, as may have been <br />amended from time to time, Consultant will provide those services described in Exhibit "A" <br />entitled, "Requested Budget Amendment For Peninsula Park EIR Addendum" dated November <br />8,2007. With this Amendment, the total aggregate agreement amount shall total One Hundred <br />Thirty Seven Thousand Three Hundred Fifty Eight Dollars and Ninety Cents ($137,358.90). <br /> <br />2. City will pay Consultant for all work associated with those services described in <br />Exhibit UN on a time and materials basis not-to-exceed Thirty Seven Thousand and Three <br />Dollars and Ninety Cents ($37,003.90). Consultant will provide City, on a monthly basis, copies <br />of invoices sufficiently detailed to include hours performed, hourly rates, and related activities <br />and costs for approval by City. <br /> <br />3. Consultant will complete all work described in Exhibit "A" and agrees to put forth <br />its best professional efforts to perform the Services described therein. No specific completion <br />date was determined. As a result, the additional requested budget does not exceed any <br />expiration date associated with this project. <br /> <br />4.
