Mana e. r <br />. .. <br /> <br />December 10,2007 <br /> <br />SUBJECT <br />Agreement with South Bayside System Authority for the transfer of title of the recycled <br />water utility facilities and exchange of easements. <br /> <br />RECOMMENDATION <br />Authorize, by motion, the execution of an agreement ("Title Transfer Agreement'') with <br />South Bayside System Authority ("SBSA") to transfer title of recycled water utility <br />facilities and direct the City Clerk to release the existing 1 O-foot and 30~foot utility <br />easements by quitclaim and accept in exchange a 50-foot utility easement offered by <br />SaSA for recycled water utility facilities pursuant to Resolution No.10944 (December 5, <br />1988). <br /> <br />BACKGROUND <br />The City and SBSA entered into an agreement entitled, "Agreement for Production and <br />Delivery of Recycled Water between the South Bayside System Authority and the City <br />of Redwood City," ("Recycled Water Agreement") dated August 1, 2004. At the same <br />time, the City and SBSA also entered into a lease agreement entitled, "Lease <br />Agreement - Recycled Water Treatment/Storage/Pumping Facility Site," ("Lease <br />Agreement") dated August 1, 2004. In this Lease Agreement, SBSA granted the City a <br />3D-foot wide utility easement ("Relinquished Easement") as described in Exhibit C-3 of <br />that document. <br /> <br />On August 22, 2005, the City and SaSA jointly awarded the Redwood City Recycled <br />Water Project, Phase 1 - SBSA Facilities Project - Connecting Pipelines and Utilities <br />Project to the lowest responsible bidder, Stoloski & Gonzalez, Inc. of Half Moon Bay, <br />California, to construct recycled water utility facilities ("Utility Facilities"). Pursuant to the <br />Recycled Water Agreement, SaSA is obligated to transfer title of the Utility Facilities to <br />the City upon completion and acceptance of the work to construct. The construction <br />was satisfactorily completed as of August 15, 2006. <br /> <br />The Utility Facilities were constructed in a new 50-foot wide utility easement <br />("Superseding Easement") on property owned by SBSA and as described in Exhibit B of <br />the Title Transfer Agreement. The proposed agreement, in effect, rescinds the existing <br />grant of the Relinquished Easements, grants the City the Superseding Easement in <br />which the Utility Facilities are constructed, and transfers title of the Utility Facilities to the <br />City. <br /> <br />Sohley Consulting. consulting engineer for SaSA, has prepared and submitted the <br />easement documentation, quitclaim, and grant deed. A copy of the agreement is <br />available for review in the City Clerk's office. <br />
