<br />6.1F <br />Page 5 <br /> <br />5.1.4 Professional Liabilitv. Errors and omiSSIons liability <br />appropriate to Contractor's profession with limits of not less than <br />$1,000,000 per claim. <br /> <br />5.2. Additional Provisions. Contractor will ensure that the policies of <br />insurance required under this Agreement contain, or are endorsed to <br />contain, the following provisions: <br /> <br />5.2.1 For Commercial General Liability Insurance and <br />Automobile Liability Insurance, RCSD, its officers, agents, <br />volunteers and employees will be named as additional insureds. <br /> <br />5.2.2 Contractor will obtain occurrence coverage, excluding <br />Professional Liability, which will be written as claims-made <br />coverage. <br /> <br />5.2.3 This insurance will be in force during the life of the <br />Agreement and any extensions of it and will not be canceled <br />without thirty (30) days prior written notice to RCSD sent pursuant <br />to the Notice provisions of this Agreement. <br /> <br />5.3 Providing Certificates of Insurance and Endorsements. Prior to <br />RCSD's execution of this Agreement, Contractor will furnish certificates of <br />insurance and endorsements to RCSD. <br /> <br />5.4 Failure to Maintain Coverage. If Contractor fails to maintain any of <br />these insurance coverages, then RCSD will have the option to declare <br />Contractor in breach, or may purchase replacement insurance or pay the <br />premiums that are due on existing policies in order to maintain the <br />required coverages. Contractor is responsible for any payments made by <br />RCSD to obtain or maintain insurance and RCSD may collect these <br />payments from Contractor or deduct the amount paid from any sums due <br />Contractor under this Agreement. <br /> <br />5.5 Submission of Insurance Policies. RCSD reserves the right to <br />require, at anytime, complete and certified copies of any or all required <br />insurance policies and endorsements. <br /> <br />5.6 Primary Coverage. For any claims related to the Services and this <br />Agreement, the Contractor's insurance coverage will be primary <br />insurance with respect to RCSD, its officers, agents, volunteers and <br />employees. Any insurance or self-insurance maintained by RCSD for <br />itself, its officers, agents, volunteers and employees, will be in excess of <br />Contractor's insurance and not contributory with it. <br /> <br />5.7 Reduction in CoveragelMaterial Changes. Contractor will notify <br />RCSD thirty (30) days prior to any reduction in any of the insurance <br />coverage required pursuant to this Agreement or any material changes to <br />the respective insurance policies. <br /> <br />ATTY/AGR/2007.100 RCSD SRO <br />120407 <br />
