<br />faith attempt to reach a mediated resolution. The costs of the mediator, if any, shall be paid equally <br />by the Parties. If a mediated settlement is reached, neither Party shall be deemed the prevailing <br />party for purposes of the settlement, and each Party shall bear its own legal costs. <br />13. Entire Agreement. <br />This Agreement, including Exhibit A, comprises the entire Agreement. <br />14. Indemnity. <br />City shall defend, indemnify and hold BAWSCA, its member agencies, and their <br />respective officers and employees ("Indemnitees") harmless from any and all claims and liabilities <br />related to or as a result of City's performance of this Agreement, to the extent the claims or liabilities <br />are caused by the City's negligent acts, or willful wrongful acts. In addition, City shall indemnify, <br />defend, and hold harmless the Indemnitees against any and all claims and liabilities arising from the <br />infringement of intellectual property rights that may occur, orthat may be alleged to have occurred, <br />from the City's performance under this Agreement. <br />15.
