<br />ORIG~NAL <br />AGREEMENT TO PROVIDE IT SERVICES TO THE MENLO PARK FIRE <br />DISTRICT <br /> <br />THIS AGREEMENT is made and entered into as of the <br /> <br />day of 12/15 200.2 <br /> <br />by and between the CITY OF REDWOOD CITY, hereinafter referred to as "RWC", and the <br /> <br />MENLO PARK FIRE DISTRICT, hereinafter referred to as "MPFD." <br /> <br />RECITALS <br /> <br />This Agreement is entered into with reference to the following facts and circumstances: <br />A. That MPFD desires to engage RWC to render certain Information Technology services to <br />MPFD related to carrying on the day to day technology related operations of MPFD. <br />B. That RWC is qualified to provide such services to MPFD; and <br />C. That MPFD has elected to engage the services of RWC upon the terms and conditions as <br />hereinafter set forth. <br /> <br />TERMS AND CONDITIONS <br /> <br />1. Services. <br /> <br />The services to be performed by RWC under this Agreement shall include those services <br />set forth in Exhibit A, which is by this reference incorporated herein and made a part hereof as <br />though it were fully set forth herein. <br />Performance of the work specified in said Exhibit A is hereby made an obligation of RWC <br />under this Agreement, subject to any changes that may be made subsequently hereto upon the <br />mutual written agreement of said Parties. <br />Where in conflict, the terms of this Agreement supersede and prevail over any terms set <br />forth in Exhibit A. <br /> <br />2. Term of Agreement. <br />The term of this agreement shall be from July 1,2007 to June 30,2008 or until terminated by <br /> <br />1 <br />
