12. SECURITY Contractor shall not have any duty to provide a guard service or other security service at the Premises and City agrees to indemnify and hold Contractor harmless for all claims and causes of action arising out of the provision of, or lack of the provision of, a guard service or other security service. 13. INDEPENDENT CONTRACTOR City and Contractor agree that they are not to be deemed as partners or joint venturers, and that the services to be rendered by Contractor are as an independent contractor. All personnel for the operation of the Services shall be employees of the Contractor and not of City. 14. SOLICITATION OF CONTRACTOR'S EMPLOYEES City agrees that during the term of this Agreement, and within one (1) year after the date of final termination hereof, that it will not hire or solicit for hire, either directly or indirectly, any person employed by Contractor at the Services. 16. INTERMEDIARIES City and Contractor each represent and warrant that they have not obligated the other to compensate any agent, attorney, broker or finder or their intermediary in connection with the negotiation, preparation or execution of this Agreement.
