Exhibit "A" <br />MASTER PROJECT AGREEMENT <br />THIS MASTER PROJECT AGREEMENT (this "Agreement") is made and entered into <br />effective as of , 20_ (the "Effective Date") by and between THE CITY OF <br />REDWOOD CITY, a charter city and California municipal corporation ("City") and THE <br />YMCA OF SILICON VALLEY, a California non-profit corporation ("YMCA -SV") City and <br />YMCA -SV are sometimes referred to herein, individually, as a "Party" and, collectively, as the <br />"Parties"): <br />RECITALS <br />A. City owns certain real property containing approximately 5.4 acres (the "Project <br />Site") within Red Morton Park, located at 1455 Madison Avenue, Redwood City. The Project <br />Site currently contains the Veterans Memorial Building Senior Center (the "Existing VMSC"), <br />Senior Center Annex, Herkner Pool, Gift Shop/Administration Building, NFL Alumni Building, <br />and surface parking. A Map of the Project Site (the "Project Site") is attached hereto as Exhibit <br />"A" and incorporated herein by reference. The Project Site consists of Assessor Parcel Numbers <br />[APN] 058-186-040, 058-196-040 and 058-184-040. <br />B. The improvements on the Project Site are heavily used but are outdated and in <br />deteriorating condition. Over the last few years, the City has undertaken a master planning <br />effort, including community meetings, and user studies to ascertain what types of replacement <br />facilities would best meet the community's changing needs. <br />C. Concurrently, the YMCA -SV has been undertaking its own planning efforts as it <br />has become increasingly difficult to accommodate the growing demand for its programs at the <br />existing facilities on Hudson Street in Redwood City. <br />D. The Parties entered into an Exclusive Negotiating Agreement ("ENA"), dated <br />July 22, 2016 in order to negotiate the terms of a recreational and wellness complex on the <br />Project Site to provide replacement City facilities for the VMSC (the "New VMB/SC"), new <br />YMCA facilities, and common areas including parking, walkways and other pedestrian areas, <br />landscaping and internal ingress/egress roads, and provide for the sharing of certain costs. <br />E. Pursuant to the ENA, the City commissioned the preparation of an Environmental <br />Report ("EIR") for the Project, in compliance with the requirements of the California <br />Environmental Quality Act (Pub. Resources Code § 21000 et seq.). The Draft EIR was <br />circulated for public comment, and the Final EIR was certified by the City Council on <br />2019. The City and YMCA -SV shared the costs of the preparation of the Draft and <br />Final EIR equally. <br />F. The Parties desire to establish a long-term, collaborative relationship to develop <br />and maintain recreational and wellness facilities to serve both of their constituencies and to <br />achieve certain economies of scale by locating both of their facilities on the Project Site. The <br />Parties further desire to memorialize their mutual goals, responsibilities and other components of <br />the collaborative arrangement described herein. <br />82483.00016\32444940.5 1 <br />
