REV: 07-19-22 JB <br />AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br />(M. Arthur Gensler Jr. & Associates) <br />This Amendment No. 1(the “Amendment No. 1”) is entered into and effective as of <br />_____________, 2022, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and M. Arthur Gensler Jr. & <br />Associates, a California Corporation (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services <br />between the City of Redwood City and M. Arthur Gensler Jr. & Associations, dated as of <br />December 10, 2019, (the “Original Agreement”). <br />B. The compensation authorized under the Original Agreement is almost <br />depleted. <br />C. City desires and Consultant agrees to perform additional Services <br />requested by issuance of a task order consistent with the authorization in Paragraph 1 of <br />the Original Agreement. <br />D. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not-to-exceed amount of One Hundred Thousand <br />Dollars ($100,000) for the completion of additional Services, which sum will include all <br />costs or expenses incurred by Consultant. The additional Services will be authorized with <br />a task order assigned and approved by the City’s Community Development and <br />Transportation Director, and consistent with the authorization of Paragraph 1 in the <br />Original Agreement. Including Amendment No. 1, the total amount payable under the <br />Agreement will be a not-to-exceed amount of Four-Hundred Ten Thousand Dollars <br />($400,000). <br />2. All other provisions of the Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 1. <br />4. The individuals executing this Amendment No. 1 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No. 1. <br />ATTY/AGR.2022/Amend.
