REV: 11-03-2021 SK <br />AMENDMENT NO. 1 <br />TO AGREEMENT FOR SERVICES <br /> (Toole Design Group, LLC) <br />This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as <br />of ___________, 2021, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and Toole Design Group, LLC, a <br />Maryland limited liability company (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of January 2, 2020, (the “Original Agreement”). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />“A”, incorporated herein by reference <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1.Consultant will provide the additional services set forth in Exhibit “A”, and <br />such services will be considered part of the Services for purposes of the Original <br />Agreement. All engineering work to be performed and all engineering plans to be <br />executed under this Amendment No. 1, as more particularly described in Exhibit “A”, shall <br />be completed by TDG Engineering, Inc., an affiliate of Consultant that provides all <br />professional engineering services on behalf of Consultant in California. <br />2. City will pay Consultant a not-to-exceed amount of Twenty Two Thousand, <br />Two Hundred and Eleven Dollars ($$22,211.00) for the completion of all the services <br />described in Exhibit “A”, which sum will include all costs or expenses incurred by <br />Consultant. Including Amendment No. 1, the total amount payable under the Agreement <br />will be a not-to-exceed amount of Eighty Two Thousand, One Hundred and Seventy One <br />Dollars ($82,171.00). <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 1. <br />5. The individuals executing this Amendment No. 1 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No. 1. <br />ATTY/AGR.2021 - Amend No. 1/Toole Design Inc.
