6.C. - Page 9 of 11 <br />AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br />Balmori Associates <br />This Amendment No. 1 (the "Amendment No. 1") is entered into and effective as <br />of *41 , 2019, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California ("City"), and Balmori Associates, Inc., a <br />Massachusetts corporation ("Consultant") (collectively, the "Parties"). <br />RECITALS <br />A. The Parties previously executed that certain Design Professional <br />Agreement, dated as of May 21, 2018 (the "Original Agreement"). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />"A", incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit "A", and <br />such services will be considered part of the Services for purposes of the Original <br />Agreement. <br />2. City will pay Consultant a not -to -exceed amount of Twenty One Thousand <br />Dollars ($21,000.00) for the completion of all the services described in Exhibit "A", which <br />sum will include all costs or expenses incurred by Consultant. Including all amendments <br />through Amendment No. 1, the total amount payable under the Agreement will be a not - <br />to -exceed amount of Eighty Thousand Nine Hundred Dollars ($80,900.00). <br />3. Unless terminated earlier, the term of this Agreement will be a period of two <br />years from the Effective Date. <br />4. All other provisions of the Agreement will remain in full force and effect. <br />5. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment. <br />6.
