AMENDMENT NO. 1 TO AGREEMENT FOR CONSULTANT SERVICES <br />(John Crowell Consulting) <br />This Amendment No. 1 (the "Amendment No. 1") is entered into and effective as <br />of July 1, 2020, by and between JOHN CROWELL CONSULTING, a sole proprietor <br />("Consultant"), and REDWOOD CTIY 2020 (a collaboration comprised of eight partners, <br />including City of Redwood City, Redwood City Elementary School District, Sequoia Union <br />High School District, John W. Gardner Center for Youth and their Communities at <br />Stanford University (Stanford University), Kaiser Permanente, and Canada College) and <br />City Of Redwood City (City) Acting as Fiscal Agent for Redwood City 2020. Collectively, <br />Consultant and Redwood City 2020 are hereinafter referred to as the "Parties". <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Consultant <br />Services, dated as of January 8, 2020, (the "Original Agreement"). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows - <br />1 . <br />ollows: <br />1. City will pay Consultant a not -to -exceed amount of Twenty Thousand <br />Dollars ($20,000.00) for the completion of all the services described in Exhibit A, which <br />sum will include all costs or expenses incurred by Consultant. Including all amendments <br />through Amendment No. 1, the total amount payable under the Agreement will be a not - <br />to -exceed amount of Forty Thousand Dollars ($40,000.00). <br />2. Unless terminated earlier, the term of this Amendment will be a period of six <br />months from the effective date of this Amendment. Including all amendments, through <br />Amendment No. 1, the total term of this Agreement is one year from the Effective Date of <br />this Agreement. <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment. <br />5. The individuals executing this Amendment and the instruments referenced <br />in it on behalf of Consultant each represent and warrant that they have the legal power, <br />right and actual authority to bind Consultant to the terms and conditions of this <br />Amendment. <br />REV: 07-15-2020 RL <br />
