REV: 05-07-2021 RL AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES (Jana Kiser) This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as of ____________________ by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Jana Kiser, a CA sole proprietorship (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of December 3, 2019, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of June 8, 2020 and Amendment No. 2 to the Original Agreement (“Amendment No. 2”), dated February 2, 2021 (the “Original Agreement” and “Amendment Nos. 1 and 2” are collectively known as the “Agreement”). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the additional services set forth in Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant a not-to-exceed amount of Sixty Seven Thousand Dollars ($67,000) for the completion of all the services described in Exhibit “A” attached hereto, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 3, the total amount payable under the Agreement will be a not-to-exceed amount of One Hundred Fifty Seven Thousand Dollars ($157,000). 3. Consultant will complete all work described in Exhibit “A” by December 31, 2021 provided that the City may grant extensions consistent with the extension provisions set forth in the Agreement. 4. If all Parties agree, electronic signatures may be used in place of original signatures on this Amendment No. 3. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this Amendment No. 3 based on the use of an electronic signature. After all Parties agree to the use of electronic signatures, all Parties must sign the document electronically. 5. All other provisions of the Agreement will remain in full force and effect.
