AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES B -K Mill & Fixtures, Inc. This Amendment No. 1 (the "Amendment No. 1") is entered into and effective as of December 15 , 2020, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and B -K Mill & Fixtures, Inc., a California corporation ("Contractor") (collectively, the "Parties"). RF(_ITAI S A. The Parties previously executed that certain Agreement for Services dated as of August 26, 2020, (the "Agreement"). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit "A", incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Contractor will provide the additional services set forth in Exhibit "A", and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Contractor a not -to -exceed amount of Sixty Thousand Dollars ($60,000) for the completion of all the services described in Exhibit "A", which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not -to -exceed amount of One Hundred Forty -Five Thousand Six Hundred Fifteen Dollars ($145,615). 3. Unless terminated earlier, the term of this Amendment will end when Contractor has performed the Services completely. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment. 6. The individuals executing this Amendment and the instruments referenced in it on behalf of Contractor each represent and warrant that they have the legal power, right and actual authority to bind Contractor to the terms and conditions of this Amendment.
