Runs with the Land; Recordation. This Parking Covenant pertains to and shall run <br />with the Property. Upon execution, this Covenant shall be recorded in the Official Records of San <br />Mateo County. All of the terms, covenants and conditions of this Parking Covenant shall be <br />binding on and shall inure to the benefit of the Developer and its nominees, successors and assigns. <br />Wherever the term "Developer" is used herein or therein, such term shall include any nominee, <br />assignee or successor of the Developer. <br />14. Joint and Several Liability. The parties agree that Property Owner and Lessee shall be <br />jointly and severally liable under this Agreement. The reference herein to Property Owner and <br />Lessee collectively as "Developer" is exclusively for purposes of defining the rights and obligations <br />specified in this Parking Covenant. The parties to this Parking Covenant acknowledge and agree <br />(i) that the relationship between Property Owner and Lessee is strictly that of landlord and tenant <br />under the Ground Lease described in Recital B; and (ii) that nothing in this Parking Covenant shall <br />be construed to create or imply any agency or joint venture relationship between Property Owner <br />and Lessee, or to confer on any person or entity any rights other than those specifically defined in <br />this Parking Covenant. <br />IN WITNESS WHEREOF, Property Owner, Lessee and City have executed this Covenant <br />as of the Effective Date. <br />REV: 12-13-19 PR <br />[Signature Page Follows] <br />ATN/AGR.2019.313/Lane - Broadway, LLC (Page 4 of S) <br />
