DES:rg 0''25/95 (111/34) <br /> <br /> use of City's and/or Authority's sanitary sewerage <br /> systems; <br /> <br /> (i) In the event that PSCL, for any reason whatsoever, does <br /> not use the Capacity Rights, or any portion thereof, sold <br /> and conveyed pursuant to the R & H/PSCL Agreement, PSCL <br /> shall notify City thereof in writing; provided, that in <br /> the further event that PSCL proposes to sell, assign, <br /> lease, license, or otherwise dispose of said Capacity <br /> Rights to any other person, corporation, partnership, <br /> association or other entity, PSCL shall first apply to <br /> City for its consent thereto as hereinabove in (d) <br /> specified, provided, further, that no such proposal shall <br /> be made or be effective if the provisions of (e), above, <br /> have become effective; <br /> <br /> (j) The conditions herein specified, and all the terms and <br /> conditions of this resolution, shall be, and the same <br /> hereby are, binding upon, and inure to the benefit of the <br /> successors and assigns of PSCL and City; and <br /> <br /> (k) The conditions herein specified, and all the terms and <br /> conditions of this resolution, shall, and the same hereby <br /> do, attach to and run with the Subject Lands. <br /> <br /> 5. This resolution shall be effective upon its adoption and <br />shall be operative upon the execution by R & H and PSCL of the <br />acknowledgement and agreement of each of said parties to the terms <br />and conditions hereof. <br /> <br /> 6. The City Clerk shall cause a copy of this resolution, or a <br />memorandum thereof, to be recorded in the Official Records of the <br />County of San Mateo. <br /> <br /> <br />
