8. Nondiscrimination and Eaual Onnortunity. During the performance of this Agreement, Contractor shall not discriminate against any employee or applicant for employment because of race, religion, creed, color, national origin, sex, sexual orientation or age. 9. Labor Code Prevailing Wage. To the extent applicable, Contractor shall comply with the requirements of the California Labor Code including but not limited to hours of labor, nondiscrimination, payroll records, apprentices, workers' compensation and prevailing wages. No less than the general prevailing rate of per diem wages for holidays and overtime work, for each craft, classification or type of worker needed to execute the work under this Agreement shall be paid to all workers, laborers and mechanics employed in the execution of the work by the Contractor or any subcontractor doing or contracting to do any part of the work. The appropriate determination of the Director of the California Department of Industrial Relations shall be filed with, and available for inspection at the City officers. Contractor shall post, at each job site, a copy of the prevailing rate of per diem wages. The Contractor shall forfeit fifty dollars ($50.00) for each calendar day or portion thereof for each worker paid less than the stipulated prevailing rates for any public work done under the Agreement by it or by any subcontractor under Contractor. 10. Permitted Use and Reservation of Rights. Subject to the terms and conditions of this Agreement, Contractor hereby grants during each subscription term, and City hereby accepts, solely for its internal use, a worldwide, revocable, non-exclusive, non-transferrable right to use the Contractor's Products and Services to the extent allowed in the relevant subscription term (collectively the "Permitted Use"). The Permitted Use shall also include the right, subject to the conditions and restrictions set forth herein, to use the Contractor's Products and Services up to the levels limited in the applicable subscription term. Restrictions. City shall not: Misuse any Contractor resources or cause any disruption, including but not limited to, the display of pornography or linking to pornographic material, advertisements, solicitations, or mass mailings to individuals who have not agreed to be contacted; Use any process, program, or tool for gaining unauthorized access to the systems, networks, or accounts of other parties, including but not limited to, other Granicus customers; City must not use the Contractor Products and Services in a manner in which system or network resources are unreasonably denied to other Contractor customers; City must not use the Services as a door or signpost to another server; Access or use any portion of Contractor Products and Services, except as expressly allowed by this Agreement or each subscription term placed hereunder; Disassemble, decompile, or otherwise reverse engineer all or any portion of the Contractor Products and Services; Use the Contractor Products and Services for any unlawful purposes; Page 4 of 7 ATTY/AGR/2019.171/GRANICUS, LLC REV: 07-19-19 RL
