6.C. - Page 5 of 13 <br />MASTER PURCHASE AGREEMENT <br />FOR GOODS, COMMODITIES, AND SERVICES <br />This Master Purchase Agreement for goods, commodities and services ("Master <br />Purchase Agreement") is made and entered into on this day of <br />2019 (the "Effective Date") by and between L.N. Curtis and Sons, a California Corporation <br />("Vendor"), and the City of Redwood City, a California charter city and municipal <br />corporation ("City"). City and Vendor are sometimes referred to hereinafter individually <br />as "Party" and collectively as "Parties." <br />RECITALS <br />A. City requires specialized equipment to successfully combat fires, perform <br />related services, and otherwise protect the public's health and safety. <br />B. L.N. Curtis and Sons is a trusted vendor used by all the fire agencies in San <br />Mateo County and has the necessary experience. <br />C. City desires to enter an agreement with the vendor using a sole source <br />procurement method. <br />D. City now desires to purchase goods and services from Vendor from time to time <br />pursuant to the terms and conditions of this Master Purchase Agreement. <br />NOW THEREFORE, in consideration of the faithful performance of the terms and <br />conditions set forth in this Master Purchase Agreement, the Parties hereto agree as <br />follows: <br />1. Purchase of Goods and Services. City agrees to purchase, and Vendor agrees to <br />sell, goods ("Goods") and to provide any services related to the installation or delivery of <br />such goods ("Services") as set forth from time to time in an order ("Order") placed by City <br />with Vendor. The Goods will be in compliance with all of the standards and specifications <br />set forth in the applicable Order, and the Services will be provided in a manner consistent <br />with that level of care and skill ordinarily exercised by members in the same profession, <br />practicing in the same locality under similar conditions. There will be no substitution of <br />Goods or Services without the prior written authorization of City. City will complete Orders <br />through their area representative, by email, or via online ordering. In no event shall an <br />order form provided by the Vendor supersede the terms of this Agreement. <br />2. City Employees Authorized to Submit Orders. The following City employees are <br />authorized to submit an Order pursuant to this Master Purchase Agreement: Redwood <br />City Fire Department Personnel holding the positions of Fire Chief, Deputy Fire Chief, <br />Battalion Chief, Fire Captain, Firefighter, Fire Marshal, Deputy Fire Marshal, Fire <br />Prevention Officer or Management Analyst. <br />REV: 11-27-19 RL <br />ATTY/AGR.2019.297/L.N.
