6.D. - Page 5 of 50 DUPLICATE ORIGINAL DESIGN PROFESSIONAL AGREEMENT (ELS Architecture and Urban Design) IS AGREEMENT is made and entered into as of the !- day of LAJ\9-- , 201,k, by and between the CITY OF REDWOOD CITY, a r chartity and municipal Vorporation of the State of California ("City"), and ELS Architecture and Urban Design, a California corporation ("Consultant"). RECITALS A. City and Consultant previously entered into a Professional Design Services Agreement, dated November 9, 2017, to manage the master planning effort and schematic design process for the Veterans Memorial Building/Senior Center - YMCA Joint Project (the "Project") at Red Morton Park. B On My 21, 2018, the City Council approved the schematic design for Veterans Memorial Building/Senior Center — YMCA Joint Project and authorized the preparation of Design Development and Construction Documents for Phase 1 of the Project with respect to the Veterans Memorial Building/Senior Center, East Parking Area, and Promenade. C. City requires the professional services of an architecture firm to provide the design development and construction documents described in Recital B., above, as well as to provide further study of traffic calming concepts. D. Consultant has the necessary experience in providing professional services and advice. E. Selection of Consultant is expected to achieve the desired results in an expedited fashion. F. Consultant has submitted a proposal to City and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Scope of Work. City retains Consultant to perform, and Consultant agrees to render, those services (the "Services") that are defined in attached Exhibit "A," which is incorporated herein by reference. In the event of a conflict between the provisions of Exhibit "A" and the terms of this Agreement, the terms of this Agreement shall prevail. City shall have the right to modify the scope of work to delete tasks in whole or in part after providing Consultant with written notice of the modification. 2. Standard of Performance. While performing the Services, Consultant will exercise the reasonable professional care and skill customarily exercised by reputable members of Consultant's profession practicing in the urban Northern REV: 06-15-18 VR Page l of 14 ATTY/AGR/2018.128/ELS ARCHITECTURE & URBAN DESIGN 46
