6.D. - Page 33 of 50 AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (ELS Architecture and Urban Design) This Amendment No. 1 (the "Amendment No. 1") is entered into and effective as of , 2020, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and ELS Architecture and Urban Design, a California corporation ("Consultant") (collectively, the "Parties"). The Parties previously executed that certain Design Professional Agreement for Design Development/Construction Documents for Phase I of the Veterans Memorial Building/Senior Center -YMCA Project, dated as of June 26, 2018 (the "Agreement"). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, which includes the following exhibits, attached hereto and incorporated herein by reference: Exhibit A (Scope of Services and Fee), Revised Exhibit AA (Hourly Billing Rate Schedule), Exhibit AA.1 (Permitting, Bid Negotiation, and Construction Administration Phases), Exhibit B (Fee Matrix), Exhibit C (Hourly Breakdown of Labor), Revised Exhibit FF (Phasing Plan), and Revised Exhibit GG (Traffic Calming Diagram). C. Revised Exhibits AA and FF supersede Exhibits AA and FF of the Agreement, respectively. Exhibit GG of the Agreement remains in full force and effect, except that the first page is replaced as set forth in the attached Revised Exhibit GG. These exhibits are lettered as such in order to correspond to the Agreement, instead of listing in alphabetical order in Recital B. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows - 1 . ollows: 1. The above recitals are incorporated here by reference as though fully set forth. 2. Consultant will provide the additional services set forth in the attached exhibits, including Exhibit "A", and such services will be considered part of the Services for purposes of the Agreement. 3. The total fee payable for the additional services set forth in the attached exhibits, including Exhibit "A," will be Three Million Two Hundred Twenty Eight Thousand and Twenty -Two Dollars ($3,228,022), which sum will include all costs or expenses incurred by Consultant. No other compensation for the services set forth in the attached exhibits will be allowed except for items covered by subsequent amendments. Incremental payments, if applicable, will be made as outlined in Exhibit "A." The total amount payable to Consultant under the Agreement and this Amendment No. 1 will be a REV: 02-03-20 PR ATTY/AGR.Amend. No.1/ELS Architecture and Urban Design (Page 1 of 18) 74
