S.H. - Page 4 of 21 <br />AMENDMENT NO. 2 TO AGREEMENT FOR SOFTWARE LICENSE, <br />IMPLEMENTATION AND MAINTENANCE <br />(PSD Software, LLC, dba HiperWeb) <br />This Amendment No. 2 (the "Amendment No. 2") is entered into and effective as <br />of , 2020, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California ("City"), and PSD Software, LLC, doing <br />business as "HiperWeb," a Georgia Limited Liability Company ("HiperWeb") (collectively, <br />the "Parties"). <br />RECITALS <br />A. The Parties previously executed that certain Software License, <br />Implementation, and Maintenance Agreement, dated as of August 5, 2016, (the "Original <br />Agreement"). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement ("Amendment No. 1 "), dated as of August 5, 2017. <br />(the "Original Agreement", "Amendment No. 1" and "Amendment No. 2" are collectively <br />known as the "Agreement") <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit <br />"A", incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. HiperWeb will provide the additional services set forth in Exhibit "A", and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay HiperWeb a not -to -exceed amount of Eighty -Five Thousand <br />Nine Hundred Sixty Dollars ($85,960) for the completion of all the services described in <br />Exhibit "A", which sum will include all costs or expenses incurred by HiperWeb. Including <br />all amendments through Amendment No. 2, the total amount payable under the <br />Agreement will be a not -to -exceed amount of Two Hundred Seventy -Four Thousand Nine <br />Hundred Dollars ($274,900). <br />3. HiperWeb will complete all work described in Exhibit "A" by August 5, 2021, <br />provided that the City may grant extensions consistent with the extension provisions set <br />forth in the Agreement. <br />4.
