REV: 03-31-2022 RL <br />AMENDMENT NO. 1 <br />TO PURCHASE AGREEMENT FOR GOODS, COMMODITIES, AND SERVICES WITH <br /> BADGER METER, INC. <br />This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as <br />of_______ day of ___________ , 2022, by and between the City of Redwood City, a <br />charter city and municipal corporation of the State of California (“City”), and Badger Meter, <br />Inc., a Wisconsin corporation (“Vendor”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Purchase Agreement for <br />Goods, Commodities, and Services, dated as of March 10, 2020, (the “Agreement”). <br />B. While the Agreement expired on March 10, 2022, the Parties continued to <br />work together to ensure continuation of delivery of Goods and Services. The Parties now <br />wish to renew implementation of the Agreement as amended by this Amendment No. 1, <br />and authorize the payment to the Vendor for any Goods and Services rendered for the <br />period between March 10, 2022 and the effective date of this Amendment No. 1. <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />“A”, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Vendor a not-to-exceed amount of Five Hundred Fifteen <br />Thousand Dollars ($515,000) for the continued purchase of Goods and Services, as <br />defined in the Agreement, per the fee schedule described in Exhibit “A” to this Amendment <br />No.1. Including all amendments through Amendment No. 1, the total amount payable <br />under the Agreement will be a not-to-exceed amount of One Million Fifteen Thousand <br />Dollars ($1,015,000). <br />2. Unless terminated earlier, the term of this Amendment No. 1 will be a period <br />of two-years from March 10, 2022. Including all amendments, through Amendment No. <br />1, the total term of this Agreement is four years from the Effective Date of this Agreement. <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Vendor pursuant to the <br />Agreement will include coverage for this Amendment No. 1. <br />ATTY/AGR.2022-Amend No. 1/Badger Meter, Inc.
