AMENDMENT NO. 2 TO PURCHASE AGREEMENT FOR GOODS, COMMODITIES, AND SERVICES WITH BADGER METER, INC. This Amendment No. 2 (the "Amendment No. 2") is entered into and effective as of 12th day of April , 2024, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Badger Meter, Inc., a Wisconsin corporation ("Vendor") (collectively, the "Parties"). RECITALS A. The Parties previously executed that certain Purchase Agreement for Goods, Commodities, and Services, dated as of March 10, 2020, (the "Original Agreement"). B. The Parties previously executed Amendment No. 1 to the Original Agreement ("Amendment No. 1 "), dated as of April 7, 2022 (the "Original Agreement" and "Amendment No. 1" are collectively known as the "Agreement"). While the Agreement expired on March 10, 2024, the Parties continued to work together to ensure continuation of delivery of Goods and Services. The Parties now wish to renew implementation of the Agreement as amended by this Amendment No. 2, and authorize the payment to the Vendor for any Goods and Services rendered for the period between March 10, 2024 and the effective date of this Amendment No. 2. C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Vendor a not -to -exceed amount of Five Hundred Thirty Thousand Four Hundred Fifty Dollars ($530,450) for the continued purchase of all the Goods and Services, as defined in the Agreement, per the fee schedule, described in Exhibit "A" to this Amendment No.2, which sum will include all costs or expenses incurred by Vendor. Including all amendments through Amendment No. 2, the total amount payable under the Agreement will be a not -to -exceed amount of One Million Five Hundred Forty -Five Thousand Four Hundred Fifty Dollars ($1,545,450). 2. Unless terminated earlier, the term of this Amendment No. 2 will be a period of two -years from March 10, 2024. Including all amendments, through Amendment No. 2, the total term of this Agreement is six years from the Effective Date of this Agreement. 3.
