AMENDMENT NO. 2 TO PURCHASE AGREEMENT FOR GOODS, COMMODITIES AND SERVICES WITH THIRKETTLE CORPORATION DOING BUSINESS AS AQUA-METRIC SALES COMPANY This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as of _______ day of _______________, 2022, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Thirkettle Corporation doing business as Aqua-Metric Sales Company, a California corporation (“Aqua-Metric” or “Vendor”) (collectively, the “Parties”). RECITALS A. City and Golden State Flow Measurement, Inc. (“GSFM”) previously executed that certain Purchase Agreement for Goods, Commodities, and Services, dated as of March 10, 2020, (the “Original Agreement”). B. Aqua-Metric purchased GSFM, and the Parties executed that certain Consent to Assignment Agreement, dated as of January 15, 2021, consenting to the assignment of all rights, obligations and interest in the Original Agreement from GSFM to Aqua-Metric. C. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of February 2, 2021 (the “Original Agreement and “Amendment No. 1” are collectively known as the “Agreement”). D. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Vendor a not-to-exceed amount of Five Hundred Fifteen Thousand Dollars ($515,000) for the continued purchase of Goods and Services, as defined in the Agreement, per the fee schedule described in Exhibit “A” to this Amendment No. 2. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of One Million Fifteen Thousand Dollars ($1,015,000). 2. Unless terminated earlier, the term of this Amendment No. 2 will be a period of two-years from the effective date of this Amendment No. 2.
