REV: 04-01-24 LF AMENDMENT NO. 3 TO PURCHASE AGREEMENT FOR GOODS, COMMODITIES, AND SERVICES (THIRKETTLE CORPORATION DBA AQUA-METRIC SALES COMPANY) This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as of _______ day of ___________, 2024, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Thirkettle Corporation, doing business as Aqua-Metric Sales Company, a California corporation (“Aqua-Metric” or “Vendor”) (collectively, the “Parties”). RECITALS A. City and Golden State Flow Measurement, Inc. ("GSFM") previously executed that certain Purchase Agreement for Goods, Commodities, and Services, dated as of March 10, 2020 (the "Original Agreement"). B. Aqua-Metric purchased GSFM, and the Parties executed that certain Consent to Assignment Agreement, dated as of January 15, 2021, consenting to the assignment of all rights, obligations and interest in the Original Agreement from GSFM to Aqua-Metric. C. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of February 2, 2021, and Amendment No. 2 to the Original Agreement (“Amendment No. 2”), dated March 10, 2022 (the “Original Agreement and “Amendment Nos. 1 & 2” are collectively known as the “Agreement”). D. While the Agreement expired on March 10, 2024, the Parties continued to work together to ensure continuation of delivery of Goods and Services. The Parties now wish to renew implementation of the Agreement as amended by this Amendment No. 3, and authorize the payment to the Vendor for any Goods and Services rendered for the period between March 10, 2024 and the effective date of this Amendment No. 3. E. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit “A”, incorporated by reference herein. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Vendor a not-to-exceed amount of Five Hundred Thirty Thousand Four Hundred Fifty Dollars ($530,450) for the continued purchase of all the Goods and Services, as defined in the Agreement, per the fee schedule described in Exhibit “A” to this Amendment No. 3. Including all amendments, through Amendment No. 3, the total amount payable under the Agreement will be a not-to-exceed amount of One Million Five Hundred Forty-Five Thousand Four Hundred Fifty Dollars ($1,545,450).
