6.C. - Page 6 of 55 <br />AMENDMENT NO. 2 TO AGREEMENT FOR SERVICES <br />(CSG Consultants, Inc.) <br />This Amendment No. 2 (the "Amendment No. 2") is entered into and effective as <br />of April , 2020, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California ("City"), and CSG Consultants, Inc., a <br />California Corporation ("Consultant") (collectively, the "Parties"). <br />RECITALS <br />A. The Parties previously executed that certain Original Agreement, dated as <br />of February 28, 2018, (the "Original Agreement"). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement ("Amendment No. 1"), dated as of June 28, 2019, (the "Original Agreement" <br />and "Amendment No. 1" are collectively known as the "Agreement"). <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 2, including any terms and conditions of the attached Exhibits <br />A and B, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not -to -exceed amount of Sixty Thousand Dollars <br />($60,000) for the completion of all the services described in Exhibit A, which sum will <br />include all costs or expenses incurred by Consultant. Including all amendments through <br />Amendment No. 2, the total amount payable under the Agreement will be a not -to -exceed <br />amount of One Million Two Hundred Sixty Thousand Dollars ($1,260,000). <br />2. Unless terminated earlier, the term of this Amendment will terminate on <br />August 31, 2020. Including all amendments, through Amendment No. 2, the total term of <br />this Agreement is two (2) years and six (6) months from the Effective Date of this <br />Agreement. <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment. <br />5. The individuals executing this Amendment and the instruments referenced <br />in it on behalf of Consultant each represent and warrant that they have the legal power, <br />right and actual authority to bind Consultant to the terms and conditions of this <br />Amendment. <br />REV: 04-08-2020 RL <br />0-1 <br />
