6.B.- Page 5of7 AMENDMENT NO. 6 TO AGREEMENT FOR PROFESSIONAL SERVICES (CSG Consultants, Inc.) This Amendment No. 6 (the "Amendment No. 6") is entered into and effective as of the day of , 2020 by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and CSG Consultants, Inc., a California corporation ("Consultant") (collectively, the "Parties") for on-call construction inspection services. A. The Parties previously executed that certain Agreement for Professional Services — CSG Consultants, Inc., dated as of February 20, 2018, (the "Original Agreement"). B. The Parties previously amended the Original Agreement executed Amendment No. 1 (dated as of May 11, 2018), Amendment No. 2 (dated October 5, 2018), Amendment No. 3 (dated December 19. 2018), Amendment No. 4 (dated May 23, 2019), and Amendment No. 5 (dated November 15, 2019). The "Original Agreement" and Amendments No. 1, 2, 3, 4, & 5 are collectively known as the "Agreement". C. The Parties have negotiated and agreed to additional on-call construction inspection service, the payment for which would exceed the maximum dollar amount of this agreement. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows - 1 . ollows: 1. In exchange for additional on-call construction inspection services described in Exhibit "A" of the Original Agreement, the City will pay Consultant a not -to - exceed amount of Four Hundred Thousand and No/100 Dollars ($400,000.00), which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 5, the total amount payable under the Agreement will be a not - to -exceed amount of One Million Five Hundred Twenty -Seven Thousand Six Hundred and No/100 Dollars ($1,527,600.00). 2. On January 1, 2021, the fee schedule in Revised Exhibit "B," attached hereto and incorporated by reference, shall become effective. Exhibit "B" from Amendment No. 3 shall remain in effect until that time. 3. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment. 4.
