AMENDMENT NO. 1 <br />TO AGREEMENT FOR PROFESSIONAL SERVICES <br />Jones Hall, A Professional Law Corporation <br />This Amendment No. 1 to Agreement for Professional Services (the "Amendment <br />No. 1 ") is entered into and effective as of December 1, 2020, by and between the City of <br />Redwood City, a charter city and municipal corporation of the State of California ("City"), <br />and JONES HALL, A PROFESSIONAL LAW CORPORATION, established and existing <br />under the laws of the State of California ("Consultant") (collectively, the "Parties"). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Professional <br />Services related to the Seaport Community Facilities District, dated as of March 1, 2020 <br />(the "Original Agreement"). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, which amends the Original Agreement as set forth herein <br />(the Original Agreement, as amended by this Amendment No. 1, is referred to herein as <br />the "Agreement"). <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows - <br />1 . <br />ollows: <br />1. In addition to the compensation payable by City to Consultant under Section <br />5 of the Original Agreement, City will pay Consultant a not -to -exceed amount of Fifteen <br />Thousand Dollars ($15,000) for the completion of all the services described in Exhibit "A" <br />of the Original Agreement, which sum will include all costs or expenses incurred by <br />Consultant. Including all amendments through Amendment No. 1, the total amount <br />payable under the Agreement will be a not -to -exceed amount of Forty Thousand Dollars <br />($40,000). <br />2. Except as provided in this Amendment No. 1, the provisions of the Original <br />Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No.1. <br />4.
