REV: 05-16-2023 RL <br />AMENDMENT NO. 2 TO AGREEMENT FOR SERVICES <br />Arboricultural Specialties, Inc. dba The Professional Tree Care Company <br />This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as <br />of July 6, 2023, by and between the City of Redwood City, a charter city and municipal <br />corporation of the State of California (“City”), and Arboricultural Specialties, Inc. dba The <br />Professional Tree Care Company, a California corporation (“Contractor”) (collectively, the <br />“Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of July 6, 2020, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of July 6, 2021 (the “Original Agreement” and <br />“Amendment No. 1” are collectively known as the “Agreement”). <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 2. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Contractor a not-to-exceed amount of Four Hundred Sixty <br />Thousand Dollars ($460,000) for the completion of all the services described in Exhibit <br />“A” of Amendment No. 1, which sum will include all costs or expenses incurred by <br />Contractor. Including all amendments through Amendment No. 2, the total amount <br />payable under the Agreement will be a not-to-exceed amount of One Million One Hundred <br />Fifty Thousand Dollars ($1,150,000). <br /> <br />2. Unless terminated earlier, the term of this Amendment No. 2 will be a period <br />of two years from the effective date of this Amendment No. 2. Including all amendments, <br />through Amendment No. 2, the total term of this Agreement is five years from the Effective <br />Date of this Agreement. <br />3. Contractor will complete all work described in Exhibit “A” of Amendment No. <br />1 by July 5, 2025, provided that the City may grant extensions consistent with the <br />extension provisions set forth in the Agreement. <br />4. All other provisions of the Agreement will remain in full force and effect. <br />5.
