MASTER SOFTWARE AND SERVICES AGREEMENT <br />THIS AGREEMENT is made and entered into on the date last written below, by <br />and between ImageTrend, Inc., a Minnesota corporation (hereinafter "ImageTrend"), and <br />City of Redwood City, a California charter city and municipal corporation (hereinafter <br />"Client"), together "the Parties." <br />RECITALS <br />WHEREAS, Client desires to purchase Commercial -Off -The -Shelf Software from <br />ImageTrend, namely a cloud -based inspection records management system for its Fire <br />Department, in order to allow fire crews to use mobile devices to capture inspection data, <br />to ensure fire code compliance in the field; and <br />WHEREAS, ImageTrend will host all data and provide the application referenced <br />above, which allows data gathering on mobile devices; and <br />WHEREAS, ImageTrend will provide support when needed as well as full <br />implementation of the purchased products; and <br />WHEREAS, Client will provide ImageTrend with a full base occupancy database <br />for an initial population of ImageTrend's database structure, but will not provide any <br />Protected Health Information; and <br />WHEREAS, ImageTrend possesses technical skill, knowledge, and capability in <br />consulting and designing off-the-shelf software solutions and performing technical <br />software services and Client desires such services. <br />NOW, THEREFORE, THE PARTIES HEREBY AGREE AS FOLLOWS: <br />REV: 06-15-2020 PR <br />ATTY/AGR.2020.099/ImagTrend, Inc.
