These terms shall supersede any early termination fees contained in versions WFB807 1 WFB8121 WFB909 of the Program Guide, provided herewith, as well as any prior versions of the Program Guide version that you may have received. In the event that Client has less than $3,000,000 in signed sales volume (card processing) per year, then it shall pay an early termination fee of $350 per location if it terminates in year 1, $250 per location if it terminates in year 2, and $150 per location if it terminates in year 3 of the Agreement. For Clients that have $3,000,000 or more in signed sales volume (card processing) per year, the early termination fees shall be 0.06% of the Client's signed sales volume for year 1 it if terminates in year 1, 0.04% of the Client's signed sales volume for year 2 if it terminates in year 2, and 0.03% of the Client's signed sales volume for year 3if it terminates in year 3. ClieJlt's obligatiQnwith respect to any Monthly Minimum Processing Fee will end when Servicers received the aforementioned fees. If Client terminates this agreement via fax, Client must keep a copy of the fax confirmation record. This fax confirmation record will be required to substantiate refund of fees that Client deems were incorrectly billed after the termination of the Agreement. Other Information . Authorization/EDC fee applies to all MasterCard and Visa approval (pre-authorizations and authorizations), capture fee, denial, batch inquiry and batch entry transactions. . Client acknowledges and understands that an authorization only indicates the availability of the Cardholder's credit at the time the authorization is requested. It does not warrant that the person presenting the card is the rightful Cardholder, nor is it an unconditional promise or guarantee that you will not be subject to a chargeback or debit. . Refer to your merchant application and agreement for terms and conditions regarding check guarantee services. . If you have selected to accept Telecheck Electronic Check Acceptance (ECA), refer to the Telecheck ECA agreement for full disclosure of fees and rates. . A Cross-border transaction is any transaction in which the country of the merchant differs from the country where the MasterCard was issued. . Client is responsible for any charges assessed by outside third parties that are not disclosed on the proposal. To the extent that this pricing proposal includes pricing for third party products and services, WFMS disclaims legal liability and responsibility for said products and services. Client's agreement with the third party provider shall govern Client's relationship with the third party provider. In the event that WFMS is billed for the third party services, Client will reimburse WFMS for such services. . If Client does not follow proper authorization procedures, a $50 chargeback handling fee will be assessed on MasterCard/Europay foreign credit card transactions. . Fees for supplies, shipping, handling and applicable sales tax may apply and are subject to change without notice. Additional information is available upon request. .
