REV: 08-04-2023 SK AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES (Hinderliter, de Llamas & Associates) This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as of ________________, 2023 by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Hinderliter, de Llamas & Associates, a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of July 21, 2020 (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No.1”), dated as of October 18, 2021. C. The Parties previously executed Amendment No. 2 to the Original Agreement (“Amendment No.2”), dated as of June 14, 2022 (the “Original Agreement” and “Amendment No. 1” and “Amendment No. 2” are collectively known as the “Agreement”). D. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. E.While the Agreement expired on July 21, 2023, the Parties continued to work together to ensure continuation of Services. The Parties now wish to renew implementation of the Agreement as amended by this Amendment No. 3 and authorize the payment to Consultant for Services rendered for the period between July 21, 2023 and the Effective Date of this Amendment No. 3. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Unless terminated earlier, the term of this Amendment No. 3 will be a period of one year from July 21, 2023. The City Manager may amend the Agreement to extend it for two additional one-year periods. Any extension will require a written amendment executed by both parties indicating the effective date and length of the extended Agreement. Including all amendments, through Amendment No. 3, the total term of this Agreement is four years from the Effective Date of this Agreement. 2. Consultant will provide the additional services set forth in Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. 3. City will pay Consultant a not-to-exceed amount of One Hundred Twenty- Four Thousand Dollars ($124,000) for the completion of all the services described in ATTY/AGR.2023/Amend.
