REV: 07-13-2021 RL AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (LifeMoves) This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of ___________, 2021, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and LifeMoves, a California non- profit corporation] (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services dated as of October 5, 2020, (the “Original Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant an additional amount of One Hundred Thirty-One Thousand One Hundred Eighty-One Dollars ($131,181) for the completion of newly described services in Exhibit “A” of the Original Agreement, as described in this Amendment No. 1, which sum will include all costs or expenses incurred by Consultant. Including this Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of One Million Three Hundred Nineteen Thousand One Hundred Eighty-One Dollars ($1,319,181). 2. Exhibit A, Page 13, bullet point number one of the Original Agreement is deleted in its entirety and replaced with the following: Consultant will provide the additional services set forth in Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. Providing case management services to Safe Parking Program Participants to transition to permanent housing alternatives – intensive case management services for program participants on the Safe Parking Site and for program participants with RV Parking Permit on the street. 3. If all Parties agree, electronic signatures may be used in place of original signatures on this Amendment No. 1. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this Amendment No. 1 based on the use of an electronic signature. After all Parties agree to the use of electronic signatures, all Parties must sign the document electronically. 4. All other provisions of the Original Agreement will remain in full force and effect.
