AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br />(Thor Audio Solutions) <br />This Amendment No. 1 (the "Amendment No. One is entered into and effective as <br />of 10/30/2020 , 2020, by and between the City of Redwood City, <br />a charter city and municipal corporation of the State of California ("City"), and Thor Audio <br />Solutions, a California sole proprietor ("Consultant") (collectively, the "Parties"). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services (Thor <br />Audio Solutions) dated as of September 24, 2020, (the "Original Agreement"). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit A, and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Consultant a not -to -exceed amount of Thirty Thousand Eight <br />Hundred Dollars ($30,800) for the completion of all the services described in Exhibit A, <br />which sum will include all costs or expenses incurred by Consultant. Including all <br />amendments through Amendment No. 1, the total amount payable under the Agreement <br />will be a not -to -exceed amount of Sixty One Thousand Six Hundred Dollars ($61,600) <br />3. Consultant will complete all Performances, clean-up and departure <br />described in Exhibit A by November 26, 2020. <br />4. All other provisions of the Agreement will remain in full force and effect. <br />5. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment. <br />6. The individuals executing this Amendment and the instruments referenced <br />in it on behalf of Consultant each represent and warrant that they have the legal power, <br />right and actual authority to bind Consultant to the terms and conditions of this <br />Amendment. <br />[The remainder of this page left intentionally blank] <br />REV: 10-30-2020 RL <br />
