&G. - Page 4 of 8 <br />AMENDMENT NO. 1 <br />TO LIVE PERFORMANCE AGREEMENT <br />Zoppe Family, LLC <br />This Amendment No. 1 (the "Amendment No. One") is entered into and effective <br />as of , 2020, by and between the City of Redwood City, a <br />charter city and municipal corporation of the State of California ("City"), Kerby Lovallo of <br />New World Classics, an artist management company ("Agent") and Zoppe Family, Inc, <br />an Illinois S Corporation ("Performers") (collectively, the "Parties"). <br />RECITALS <br />A. The Parties previously executed that certain Live Performance Agreement, <br />dated as of October 5, 2020, (the "Original Agreement"). <br />B. Agent has agreed to not be a party to this Amendment No. 1. <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Performers will provide additional Performances as set forth in Exhibit A, <br />and such performances will be considered part of the Performances for purposes of the <br />Agreement. <br />2. Section 4 "Compensation" shall be replaced in its entirety as follows: <br />4. Compensation. City will pay Performers a not -to -exceed amount of <br />One Hundred and Twenty -One Thousand, Five Hundred Dollars ($121,500) <br />for the completion of all the Performances described in Exhibit A, which sum <br />will include all costs or expenses incurred by Performers. Including all <br />amendments through Amendment No. 1, the total amount payable under <br />the Agreement will be a not -to -exceed amount of Two Hundred Eighty <br />Three Thousand Dollars ($283,000). <br />3. Performers will complete all Performances, clean-up and departure <br />described in Exhibit A by Nov 26, 2020. <br />4. All other provisions of the Agreement will remain in full force and effect. <br />5. All requisite insurance policies to be maintained by Performers pursuant to <br />the Agreement will include coverage for this Amendment. <br />REV: 10-20-2020 RL <br />155 <br />
