The following contracting and bidding procedures will apply to all construction activity relating to the Levee Improvements: (a) Prior to or upon City's adoption of the CFD formation resolution described in Section 4(a), SCOA will prepare and submit to the Designated City Official for review and comment in the report(s) therein described a bid package that includes: (i) bidding and procurement information describing the time, place and conditions of competitive bidding, including bidding or proposal forms; (ii) the list of proposed bid package recipients; (iii) the form of bid notice; (iv) the form of agreement between SCOA and General Contractor; (v) the conditions of the contract for construction (general, supplementary and other conditions) and general requirements (if any); (vi) bond forms (performance, labor and materials, and warranty); (vii) a statement of bidder qualifications; and (viii) such other items as may be reasonably requested by City. The Designated City Official will, within a reasonable time period, and in no event more than ten (10) days from receipt of the items listed in the immediately preceding sentence (and in the event the Designated City Official fails to respond within such 10- day time period, the SCOA shall be entitled to an extension of time as set forth in Section 25(a) below), respond with any comments, SCOA will endeavor to address all such comments and will incorporate the Designated City Official's reasonable proposed changes in the bid package documents, and the SCOA and Designated City Official will confirm in writing their mutual approval of the final bid package documents to be submitted to City with the report(s). The final bid package documents as approved by City shall be referred to as the "Final Bid Package Documents". Accordingly, upon establishment of the Final Bid Package Documents, the Parties agree to affix the Final Bid Package Documents to this Agreement as Exhibit I. (b) Prior to proceeding as specified in Subsection 12(c) below, (i) SCOA will have obtained all land use entitlements, permits and licenses as provided in Section 7, except that the Levee Improvements may be constructed in phases as warranted to coincide with the issuance of the respective permits and the Levee Improvements may be bid and the Construction Contract structured accordingly; and (ii) prior to awarding the Construction Contract, SCOA will provide City with proof of availability of sufficient funds to complete the Levee Improvement work in accordance with the Final Design and Construction Budget. (c) SCOA shall provide notice of the competitive bid process to and obtain competitive bids from a minimum of three (3) qualified bidders. SCOA shall mail notices inviting formal bids to the recipients approved by the Designated City Official or his or her designee. The notices shall be distributed (by mail or electronic mail) no less than thirty (30) calendar days before the opening date of the bids. The notices shall distinctly describe the Levee Improvements project and state the time and place for submission of bids. Bids shall be submitted to SCOA either via hard copy or email. The bids shall be received and opened by SCOA and there shall be no requirements for a public bid opening. After the bids are received and opened by SCOA, SCOA may contact one or more of the bidders and request clarification of any bid or adjustments to the bid to comply with the specifications for the Levee Improvements, including the City -approved Final Bid Package Documents so that all bids may be evaluated on a comparable basis.
